Hashmarks Terms of Service

These Terms are an agreement between you and [LEGAL ENTITY NAME] ("Hashmarks," "we," "us") for use of hashmarks.football and the Hashmarks apps (the "Service"). By creating an account or using the Service you agree to these Terms and the Privacy Policy. If you use the Service for a team, school, league or club, you confirm you're authorized to accept these Terms for it (the "Organization").
1. Accounts
- You must be at least 18 years old to create an account.
- Accounts are available by request. We review each request and may approve or decline it at our discretion; an approved request comes with a single-use sign-up link.
- Give accurate information and keep your password secure. You're responsible foractivity on your account; tell us promptly about unauthorized use.
- Organization owners and admins control membership and roles. Invited members canaccess the Organization's data according to their role.
2. The Service and price
Hashmarks is currently provided free of charge. The free plan includes every feature, with limits such as film storage per team per season (currently 25 GB); we may change these limits with notice, and uploads over a limit are refused. We may add, change or remove features. We'll try to give notice of major changes that remove functionality you rely on.
3. Your content
"Your Content" is what you and your Organization put into the Service: play data, rosters, playbooks, diagrams, notes, imports and so on. You keep all rights to Your Content. You give us a worldwide, royalty-free license to host, copy, process, transmit, display and analyze Your Content to provide the Service to you, as described in the Privacy Policy (including sending it to the service providers and AI features listed there when you use them), and to improve Hashmarks as described in Section 3A. We don't sell Your Content.
You're responsible for Your Content and confirm you have the rights and any required permissions or consents to upload it, including information about players who may be minors (see the Privacy Policy, Section 7), and to import data you export from other services (such as Hudl) under those services' terms.
3A. Using data to improve Hashmarks, including AI training
You agree that we may use Your Content, and information about how the Service is used, to develop, train, test and improve Hashmarks. That includes building and training machine-learning and artificial-intelligence models and features: for example recognizing formations, plays and personnel, predicting tendencies, improving voice entry, and generating quizzes, diagrams and reports. For this purpose you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable (only to our service providers working on our behalf) license to use, copy, analyze, aggregate, modify and create derivative works from Your Content.
When we use Your Content this way:
- Personal information is removed first. Before content is used to train or evaluatemodels, we remove or de-identify personal information, such as names, emailaddresses, photos and other details that identify a player, parent, coach or otherperson. We don't use information that identifies a player to train models.
- Your team's data isn't shown to other teams. Trained models and features may learngeneral football patterns from many teams' data, but we won't use them to show oneteam's plays, playbook, game plans or scouting data to another team.
- We don't sell it or let others train on it. We don't sell Your Content, and we don'tallow third parties to use it to train their own models. Our service providers mayprocess it only to help us build and run Hashmarks.
- Deletion. Deleting Your Content removes it from your account and from futuretraining. De-identified or aggregated data, and models already trained on it, may bekept, because they can't reasonably be separated back out.
This section survives termination of these Terms and the deletion of your account.
4. Links you share
Collector and share links let people without accounts add plays or view a game plan. Anyone who has an active link can use it, so share links only with people you trust. Revoke a link at any time. You're responsible for what you share.
5. Acceptable use
Don't: break the law or others' rights; upload content you have no right to share; harass anyone or post inappropriate content about players; try to access other Organizations' data or get around security, rate limits or access controls; reverse engineer, decompile or copy the Service's software except where the law allows; or overload it.
No copying Hashmarks. You may not, and may not help anyone else:
- use bots, scrapers, crawlers or other automated means to access, copy or extract theService or its content (including play and formation libraries, quiz questions,diagrams, reports and help or blog content), except public pages indexed by searchengines under our robots.txt;
- access or use the Service to build, train or improve a competing product or service,or to copy its features, workflows, design or content;
- use the Service, or any account, on behalf of a competitor, or to benchmark it for acompetitor, without our written permission; or
- remove or obscure our trademarks, copyright notices or other proprietary marks.
We may block access, suspend accounts and take legal action to stop these uses.
6. AI features
AI features (voice entry, scouting reports, roster extraction) generate output automatically and may be inaccurate. Review AI output before relying on it for coaching or player decisions.
7. Football content and third-party marks
Play libraries, terminology and quiz content use general football terminology for education and planning. Hudl and other product names belong to their owners; mention of them doesn't imply affiliation or endorsement.
8. Our property
The Service, including its software, design, logos and content we provide (excluding Your Content), belongs to Hashmarks and its licensors. You get a personal, non-exclusive, non-transferable right to use it under these Terms. Feedback you send us may be used without obligation to you.
9. Suspension and termination
You can stop using the Service at any time and ask us to delete your account or Organization. We may suspend or end access for violations of these Terms, security risks or legal reasons, with notice where reasonable. We'll give Organization owners a reasonable chance to export their data unless the law or a security issue prevents it.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We don't guarantee the Service will be uninterrupted or error-free, or that statistics, tendencies, predictions or AI output are accurate. Game-day decisions are yours.
11. Limitation of liability
TO THE EXTENT ALLOWED BY LAW, HASHMARKS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US $100. Some places don't allow these limits, so they may not apply to you.
12. Indemnity
To the extent allowed by law, you'll defend and indemnify Hashmarks against claims arising from Your Content or your violation of these Terms or the law.
13. Governing law and disputes
These Terms are governed by the laws of [STATE], excluding conflict-of-law rules. Disputes will be resolved in the state or federal courts in [COUNTY, STATE].
14. Changes
We may update these Terms. We'll post the new version with a new effective date and, for material changes, notify account owners in advance. Continuing to use the Service after changes take effect means you accept them.
